Subject to change without notice as the product evolves. **Effective Date:** June 5, 2026 **Last Updated:** June 5, 2026 {% hint style="warning" %} **Protoboard is in alpha.** These Terms, the Service, and all related policies are subject to change without notice as the product evolves. By using Protoboard during the alpha period, you accept that the platform, its features, pricing, and these Terms may be updated at any time. {% endhint %} These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and Delta Robotics Inc., a Texas corporation ("Delta Robotics," "we," "us," or "our"). These Terms govern your access to and use of the Protoboard platform, including the website at , the application at , and all related services, features, content, and applications (collectively, the "Service"). Please read these Terms carefully before using the Service. By accessing or using Protoboard, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service. ## 1. Acceptance of Terms and Eligibility ### 1.1 Acceptance By creating an account, accessing, or using the Service, you agree to be bound by these Terms, our [Privacy Policy](/legal/privacy-policy.md), and any additional terms, guidelines, or policies referenced herein. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" shall refer to both you individually and the organization. ### 1.2 Age Requirements You must be at least 13 years of age to use the Service. Certain features, including AI-powered features (ProtoBot) and paid subscriptions, require you to be at least 16 years of age. If you are under 18, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf. We do not knowingly collect personal information from children under 13. If we learn that we have collected information from a child under 13, we will promptly delete that information. ### 1.3 Acceptance by Use Your continued use of the Service after any modification to these Terms constitutes your acceptance of the revised Terms. If you do not agree to the modified Terms, your sole remedy is to discontinue use of the Service. ### 1.4 Geographic Availability The Service is operated from the United States. If you access the Service from outside the United States, you do so at your own initiative and are responsible for compliance with local laws. By using the Service, you consent to the transfer of your data to the United States. For details on how we handle personal data, see our [Privacy Policy](/legal/privacy-policy.md). ## 2. Description of Service ### 2.1 Platform Overview Protoboard is a web-based hardware validation platform that enables engineers to model connections between electronic, mechatronic, pneumatic, and networked components. The platform allows users to place parts on a canvas, connect them with harnesses, and run a Design Rule Check ("DRC") to validate system designs before fabrication. The Service also includes ProtoBot, an AI assistant; Bill of Materials ("BOM") management and export; and related tools. Exported data, including BOM files, screenshots, and other outputs, are generated from your board data as-is and may not reflect all design details, pricing, or supplier availability. You are responsible for verifying all exported data before use in procurement, fabrication, or other applications. ### 2.2 Service Tiers The Service is offered under the following subscription tiers: * **Free Tier:** Provides 500 Watt-hours ("Wh") of AI energy credits per day. Energy credits reset every 24 hours, measured from your first AI request in each window, and do not roll over to subsequent days. * **Pro Tier:** Provides 1,000 Wh of AI energy credits per day. The Pro tier is a paid subscription and includes access to additional features. Energy credits reset every 24 hours, measured from your first AI request in each window, and do not roll over. Watt-hours (Wh) are a themed credit unit used to measure AI usage within the platform. They do not represent actual electrical energy consumption. ### 2.3 Alpha Status The Service is currently in **alpha testing**. This means the product is under active, rapid development and will change frequently. You acknowledge and agree that using an alpha product carries inherent risks, including but not limited to: * Features may be added, changed, or removed without advance notice * Breaking changes may alter how existing features work * Data formats or schemas may change, requiring migration or causing temporary incompatibility * Bugs, errors, and incomplete features are expected * Performance may vary as infrastructure scales * Downtime may occur without scheduled maintenance windows * Board data may need to be re-validated after platform updates * API endpoints may change without deprecation periods * Pricing, energy credit allocations, and subscription terms may be adjusted as we learn from usage We do not guarantee the availability, reliability, or continuity of any feature during the alpha period. We will make reasonable efforts to communicate significant changes, but rapid iteration is a core part of this phase. ### 2.4 Third-Party Infrastructure The Service relies on third-party infrastructure providers for authentication, data storage, analytics, and payment processing. Your use of the Service is subject to the terms and policies of these providers to the extent that your data is processed by their systems. Delta Robotics selects these providers with care but does not control their infrastructure or guarantee their availability. ## 3. Account Registration and Security ### 3.1 Account Creation To access certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete. ### 3.2 Account Security You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately at if you become aware of any unauthorized use of your account or any other breach of security. ### 3.3 One Account Per Person Each individual may maintain only one account. You may not create multiple accounts to circumvent restrictions, rate limits, or enforcement actions. We reserve the right to merge or terminate duplicate accounts. ### 3.4 Account Responsibility You are responsible for all activity that occurs under your account, whether or not you authorized such activity. Delta Robotics will not be liable for any loss or damage arising from your failure to maintain the security of your account credentials. ## 4. Subscription, Billing, and Energy Credits ### 4.1 Free Tier The Free tier provides 500 Wh of AI energy credits per day at no charge. The daily allowance resets every 24 hours, measured from your first AI request in each window; unused credits expire at the end of each daily window and do not roll over. Delta Robotics reserves the right to modify the Free tier allocation at any time. ### 4.2 Pro Tier The Pro tier is a paid subscription that provides 1,000 Wh of AI energy credits per day, along with access to premium features. The daily allowance resets every 24 hours, measured from your first AI request in each window, and does not roll over. Pro subscriptions are billed on a recurring monthly basis through Stripe, our third-party payment processor. By subscribing to the Pro tier, you authorize us to charge your payment method on a recurring basis until you cancel. ### 4.3 Top-Up Energy Credits Users may purchase additional energy credits at a rate of $1.00 USD per 100 Wh ("Top-Up Credits"). Top-Up Credits do not expire and remain available in your account until used. Top-Up Credits are consumed only after your daily tier allocation has been exhausted. ### 4.4 Auto-Renewal and Cancellation Pro subscriptions automatically renew at the end of each billing cycle. You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period; you will retain access to Pro features until that date. ### 4.5 Refund Policy All fees and purchases, including subscription fees and Top-Up Credits, are non-refundable except where required by applicable law. No refunds or credits will be issued for partial months of service, unused energy credits, or account termination. ### 4.6 Price Changes We may change our subscription fees or energy credit pricing at any time. We will provide at least 30 days' advance notice of any price increase via email or through the Service. Your continued use of the Service after the effective date of a price change constitutes your acceptance of the new pricing. If you do not agree to the new pricing, you must cancel your subscription before the change takes effect. ### 4.7 Delinquent Accounts If your payment method fails or your account becomes delinquent, we may suspend your access to paid features until payment is received. We reserve the right to terminate accounts that remain delinquent for more than 30 days. ### 4.8 Credit Exhaustion When your daily energy credit allocation and any Top-Up Credits are fully consumed, access to AI-powered features (including ProtoBot) will be suspended until your allowance resets at the start of the next 24-hour window or you purchase additional Top-Up Credits. Non-AI features of the Service (canvas, parts library, DRC, BOM, sharing) remain available regardless of your credit balance. ## 5. Intellectual Property ### 5.1 Delta Robotics Intellectual Property The Service, including all software, algorithms, user interfaces, designs, text, graphics, logos, trademarks, service marks, and documentation, is the exclusive property of Delta Robotics or its licensors and is protected by copyright, trademark, patent, trade secret, and other intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the Service or our intellectual property except for the limited right to use the Service in accordance with these Terms. ### 5.2 ProtoPart Open Source Library The ProtoPart parts library and schema are made available under the Delta Robotics Open License v1.0. Your use of the ProtoPart library is governed by the terms of that license. The open-source nature of the ProtoPart library does not extend to the Protoboard platform, its proprietary features, or its underlying infrastructure. ### 5.3 Restrictions You may not, directly or indirectly: (a) reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service; (b) copy, modify, or create derivative works of the Service or any portion thereof; (c) rent, lease, lend, sell, sublicense, or transfer access to the Service to any third party; (d) remove, alter, or obscure any proprietary notices on the Service; or (e) use the Service or any data obtained from it to build, train, or improve a competing product or service. ## 6. User Content and Data Ownership ### 6.1 Your Content You retain full ownership of all board designs, configurations, project data, custom parts, and other content you create using or upload to the Service ("User Content"). Delta Robotics claims no ownership rights in your User Content. ### 6.2 Free Tier: Public Content During the alpha period, **boards created on the Free tier are publicly accessible.** By using the Free tier, you grant Delta Robotics a non-exclusive, worldwide, royalty-free license to display, share, reproduce, and reference your Free-tier User Content for any purpose, including product demonstrations, marketing, documentation, community showcases, and social media. This public visibility is a condition of the Free tier during alpha. If you require your boards to remain private, you must upgrade to the Pro tier. ### 6.3 Pro Tier: Private Content Boards created on the **Pro tier are private by default.** Delta Robotics will not publicly share, display, or reference your Pro-tier User Content without your prior written approval. The license granted under Section 6.4 for Pro-tier content is limited to what is necessary to operate and provide the Service. ### 6.4 License to Delta Robotics By submitting User Content to the Service, you grant Delta Robotics a limited, non-exclusive, worldwide, royalty-free license to store, process, display, transmit, and reproduce your User Content solely as necessary to operate, maintain, and provide the Service to you. This license includes the right to make User Content available to third-party AI providers as described in Section 7. This license terminates when you delete your User Content or your account, except to the extent that backup copies may be retained temporarily in accordance with our data retention practices. For Free-tier users, this license extends to the public uses described in Section 6.2. For Pro-tier users, this license is limited to Service operation as described in Section 6.3. ### 6.5 Feedback If you provide suggestions, feature requests, bug reports, or other feedback regarding the Service ("Feedback"), you grant Delta Robotics a perpetual, irrevocable, worldwide, royalty-free, fully sublicensable license to use, reproduce, modify, distribute, and otherwise exploit such Feedback for any purpose without obligation or compensation to you. ### 6.6 Content Representations You represent and warrant that you own or have the necessary rights and permissions to submit all User Content and to grant the licenses described in this Section 6, and that your User Content does not violate any third party's intellectual property rights, privacy rights, or any applicable law. ### 6.7 Board Sharing The Service provides a sharing feature that allows you to generate a shareable URL for your boards. When you share a board, your board data is synchronized to cloud storage and becomes accessible to anyone with the URL. By sharing a board, you acknowledge that: (a) you are solely responsible for determining who receives the URL; (b) Delta Robotics does not control access to shared URLs once generated; (c) sharing a Pro-tier board via URL makes the board viewable to recipients but does not alter the license restrictions in Section 6.3; and (d) you represent that you have the right to share all content included in the board. ## 7. AI Features and ProtoBot ### 7.1 Third-Party AI Providers ProtoBot is powered by third-party large language model ("LLM") providers, currently including Anthropic, OpenAI, and Google. When you use ProtoBot or other AI features, your board data, prompts, and related context ("Inputs") may be transmitted to the AI provider associated with your selected model for processing. Delta Robotics selects and configures these providers but does not control their underlying models. ### 7.2 No AI Training on Your Data Delta Robotics does not use your board data, project files, or Inputs to train, fine-tune, or improve AI models. Your data is transmitted to third-party AI providers solely for the purpose of generating real-time responses to your queries. Please review the privacy practices and data handling policies of each AI provider for additional details regarding their processing of data. ### 7.3 AI Outputs All responses, suggestions, recommendations, designs, and other content generated by ProtoBot or other AI features ("Outputs") are provided on an "as-is" basis without any warranty of accuracy, completeness, reliability, or fitness for any particular purpose. AI Outputs do not constitute professional engineering advice, electrical engineering certification, safety analysis, or any form of professional consultation. You must independently verify all AI-generated recommendations, calculations, and design suggestions before relying on them for hardware fabrication, procurement, or deployment. ### 7.4 Ownership of Inputs and Outputs You retain ownership of your Inputs. To the extent that Delta Robotics holds any rights in Outputs generated for you, Delta Robotics hereby assigns such rights to you. You acknowledge that Outputs are generated algorithmically and may be similar or identical to Outputs provided to other users who submit similar Inputs. Delta Robotics does not guarantee that Outputs are unique or exclusive to you. ### 7.5 Risk of Reliance You bear all risk arising from your reliance on AI-generated Outputs. Delta Robotics shall not be liable for any damages, losses, injuries, or costs resulting from decisions made or actions taken based on AI Outputs, including but not limited to errors in component selection, wiring recommendations, voltage calculations, compatibility assessments, or BOM suggestions. ### 7.6 AI Provider Compliance You agree to comply with the acceptable use policies of the underlying AI providers when using ProtoBot and other AI features. Violations of third-party AI provider policies may result in suspension or termination of your access to AI features. ## 8. Acceptable Use Policy ### 8.1 Prohibited Conduct You agree not to use the Service to: (a) Violate any applicable local, state, national, or international law or regulation. (b) Upload, transmit, or distribute content that is illegal, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable. (c) Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying algorithms of the Service. (d) Scrape, crawl, or use automated means to extract data from the Service, except as expressly permitted by these Terms or a separate written agreement. (e) Build, train, or improve a competing product or service using the Service or data obtained from it. (f) Use content from the Service, including User Content of others, for unauthorized training of AI or machine learning models. (g) Misrepresent AI-generated Outputs as certified, reviewed, or approved engineering work. (h) Rely on AI Outputs for safety-critical applications without independent review by a qualified professional engineer. (i) Process personal data of children under 13 through the Service. (j) Circumvent, disable, or interfere with rate limits, access controls, security features, or other protective measures of the Service. (k) Impersonate any person or entity or misrepresent your affiliation with any person or entity. (l) Use the Service in any manner that could damage, disable, overburden, or impair the Service or interfere with any other party's use of the Service. (m) Violate the acceptable use policies of third-party AI providers whose models are accessible through the Service. ### 8.2 Enforcement We reserve the right, but are not obligated, to investigate and take appropriate action against anyone who, in our sole discretion, violates this Section 8. Such action may include removing or disabling access to content, suspending or terminating accounts, and reporting violations to law enforcement authorities. ## 9. Copyright and DMCA ### 9.1 Respect for Intellectual Property Delta Robotics respects the intellectual property rights of others and expects users to do the same. You represent and warrant that all User Content you upload to the Service does not infringe upon the copyrights, trademarks, patents, trade secrets, or other intellectual property rights of any third party. ### 9.2 DMCA Takedown Procedure If you believe that content on the Service infringes your copyright, you may submit a notice under the Digital Millennium Copyright Act ("DMCA") to our designated agent. Your notice must include: (a) A physical or electronic signature of the copyright owner or a person authorized to act on their behalf. (b) Identification of the copyrighted work claimed to have been infringed. (c) Identification of the infringing material and information reasonably sufficient to permit us to locate it. (d) Your contact information, including address, telephone number, and email address. (e) A statement that you have a good-faith belief that use of the material is not authorized by the copyright owner, its agent, or the law. (f) A statement, under penalty of perjury, that the information in the notice is accurate and that you are authorized to act on behalf of the copyright owner. ### 9.3 Contact for Copyright Claims DMCA notices should be sent to: Delta Robotics Inc.\ Attn: Copyright Agent\ Email: ### 9.4 Counter-Notice If you believe that content you submitted was removed or disabled by mistake or misidentification, you may submit a written counter-notice to our designated agent. Your counter-notice must include: (a) Your physical or electronic signature. (b) Identification of the material that was removed or disabled and the location at which it appeared before removal. (c) A statement, under penalty of perjury, that you have a good-faith belief the material was removed or disabled as a result of mistake or misidentification. (d) Your name, address, and telephone number, and a statement that you consent to the jurisdiction of the federal district court for the judicial district in which your address is located (or Dallas County, Texas, if outside the United States) and that you will accept service of process from the party who filed the original takedown notice. Upon receipt of a valid counter-notice, we will forward it to the complaining party and restore the removed content within 10 to 14 business days, unless the copyright owner files a court action seeking a restraining order against you. ### 9.5 Misrepresentation and Bad-Faith Claims Under 17 U.S.C. ยง 512(f), any person who knowingly materially misrepresents that content is infringing, or that content was removed or disabled by mistake, may be liable for damages, including costs and attorney's fees. Delta Robotics takes the integrity of the DMCA process seriously. If we determine that a takedown notice was filed in bad faith, without a legitimate copyright claim, or for the purpose of harassing, silencing, or disadvantaging another user, we reserve the right to: * Reject or disregard the notice * Restore the affected content without waiting for the standard counter-notice period * Suspend or terminate the account of the party who filed the abusive notice * Disclose the notice and the filer's identity to the affected user * Pursue any available legal remedies We encourage all parties to consult with legal counsel before filing a DMCA notice or counter-notice. ### 9.6 Repeat Infringer Policy We will terminate the accounts of users who are determined to be repeat infringers in appropriate circumstances. We reserve the right to terminate any account for even a single instance of infringement at our sole discretion. This policy applies equally to repeat filers of bad-faith takedown notices. ## 10. AI Policy and Web Crawling ### 10.1 Permitted Web Crawling Delta Robotics permits web crawling of publicly accessible pages of the Service by search engines and AI systems for the purpose of indexing and discoverability, provided that such crawling respects our robots.txt directives and does not impose an unreasonable load on the Service. ### 10.2 Unauthorized AI Training Without a separate written license from Delta Robotics, you may not use the Service, its content, or data obtained from it to train, fine-tune, or otherwise improve any AI or machine learning model. This restriction applies to both the platform's proprietary content and User Content belonging to other users. ## 11. Disclaimer of Warranties ### 11.1 "As Is" and "As Available" THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, DELTA ROBOTICS DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. ### 11.2 No Warranty of Accuracy DELTA ROBOTICS DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY CONTENT OBTAINED THROUGH THE SERVICE, INCLUDING AI-GENERATED OUTPUTS. ### 11.3 AI Disclaimer WITHOUT LIMITING THE FOREGOING, DELTA ROBOTICS SPECIFICALLY DISCLAIMS ANY WARRANTY THAT AI OUTPUTS ARE ACCURATE, COMPLETE, CURRENT, SAFE, OR SUITABLE FOR ANY PURPOSE. AI OUTPUTS MAY CONTAIN ERRORS, OMISSIONS, OR HALLUCINATIONS. AI OUTPUTS DO NOT CONSTITUTE PROFESSIONAL ENGINEERING, ELECTRICAL, SAFETY, OR REGULATORY ADVICE. ### 11.4 Alpha Software Disclaimer THE SERVICE IS IN ALPHA. YOU ACKNOWLEDGE THAT ALPHA SOFTWARE IS INHERENTLY UNSTABLE AND MAY CONTAIN BUGS, ERRORS, AND INCOMPLETE FEATURES. YOU SHOULD EXPECT BREAKING CHANGES, DATA LOSS, SERVICE INTERRUPTIONS, AND FEATURE REMOVAL DURING THE ALPHA PERIOD. DELTA ROBOTICS MAKES NO COMMITMENT REGARDING UPTIME, AVAILABILITY, OR DATA PRESERVATION DURING ALPHA. FEATURES SUCH AS AUTOSAVE AND DRAFT RECOVERY ARE PROVIDED ON A BEST-EFFORT BASIS AND MAY NOT CAPTURE ALL CHANGES. DELTA ROBOTICS DOES NOT GUARANTEE THAT YOUR DATA WILL BE PRESERVED, RECOVERED, OR AVAILABLE AT ALL TIMES. ## 12. Limitation of Liability ### 12.1 Exclusion of Damages TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL DELTA ROBOTICS, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, OR ASSIGNS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES, REGARDLESS OF WHETHER SUCH DAMAGES ARE BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND REGARDLESS OF WHETHER DELTA ROBOTICS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. ### 12.2 Aggregate Liability Cap TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF DELTA ROBOTICS FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES YOU PAID TO DELTA ROBOTICS DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00 USD). ### 12.3 Hardware Fabrication Disclaimer WITHOUT LIMITING THE FOREGOING, DELTA ROBOTICS SHALL NOT BE LIABLE FOR ANY DAMAGES, LOSSES, INJURIES, OR COSTS ARISING FROM YOUR RELIANCE ON AI OUTPUTS, DESIGN RULE CHECK RESULTS, BOM EXPORTS, OR ANY OTHER SERVICE OUTPUT FOR THE PURPOSE OF HARDWARE FABRICATION, PROCUREMENT, DEPLOYMENT, OR OPERATION. YOU ASSUME ALL RISK ASSOCIATED WITH THE USE OF SERVICE OUTPUTS IN PHYSICAL HARDWARE APPLICATIONS. ### 12.4 Essential Basis THE LIMITATIONS AND EXCLUSIONS IN THIS SECTION 12 APPLY EVEN IF THE REMEDIES OTHERWISE AVAILABLE ARE FOUND TO BE INADEQUATE AND SHALL SURVIVE THE FAILURE OF THE ESSENTIAL PURPOSE OF ANY LIMITED REMEDY. YOU ACKNOWLEDGE THAT THESE LIMITATIONS REFLECT A REASONABLE ALLOCATION OF RISK AND ARE A FUNDAMENTAL BASIS OF THE BARGAIN BETWEEN YOU AND DELTA ROBOTICS. ## 13. Indemnification You agree to indemnify, defend, and hold harmless Delta Robotics and its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) Your User Content, including any claim that your User Content infringes or misappropriates a third party's intellectual property rights. (b) Your violation of these Terms or any applicable law or regulation. (c) Your misuse of AI Outputs, including reliance on AI-generated suggestions for hardware fabrication, procurement, or deployment without independent professional verification. (d) Any third-party claims arising from your use of the Service. Delta Robotics reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of such claims. You agree not to settle any such claim without the prior written consent of Delta Robotics. ## 14. Termination ### 14.1 Termination by You You may terminate your account at any time by using the account deletion feature in your account settings or by contacting us at . Upon cancellation, your subscription (if any) will remain active through the end of the current billing period. ### 14.2 Termination by Delta Robotics We may suspend or terminate your account and access to the Service at any time, with or without cause, and with or without notice, at our sole discretion. Grounds for termination include, but are not limited to: violation of these Terms, fraudulent or illegal activity, non-payment, extended inactivity, or conduct that we determine to be harmful to other users, the Service, or Delta Robotics. ### 14.3 Data Export Upon termination (whether by you or by us for reasons other than fraud or illegal activity), you will have a 30-day window to export your User Content. During this window, you may access and download your board designs, project data, and other User Content. After the 30-day export window, we may permanently delete all User Content associated with your account. Data export during this window is available through the same export features provided during normal Service operation, including BOM export (CSV and PDF) and board data download. ### 14.4 Effect of Termination Upon termination: (a) your right to access and use the Service immediately ceases (subject to the data export window described above); (b) all outstanding fees become immediately due and payable; (c) unused energy credits, including Top-Up Credits, are forfeited and non-refundable; and (d) any licenses granted to you under these Terms immediately terminate. ### 14.5 Surviving Provisions Sections 5 (Intellectual Property), 6.2 (Free Tier: Public Content), 6.5 (Feedback), 6.6 (Content Representations), 7.4 (Ownership of Inputs and Outputs), 7.5 (Risk of Reliance), 11 (Disclaimer of Warranties), 12 (Limitation of Liability), 13 (Indemnification), 14.3 (Data Export), 14.5 (Surviving Provisions), 15 (Governing Law and Dispute Resolution), and 16 (General Provisions) shall survive termination of these Terms. ## 15. Governing Law and Dispute Resolution ### 15.1 Governing Law These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of laws principles. ### 15.2 Informal Resolution Before initiating any formal dispute resolution proceeding, you agree to first contact us at and attempt to resolve the dispute informally for at least 30 days. Most disputes can be resolved without formal proceedings. ### 15.3 Exclusive Jurisdiction Any dispute, claim, or controversy arising out of or relating to these Terms or the Service that is not resolved informally shall be resolved exclusively in the state or federal courts located in Dallas County, Texas.
